Terms of Service

These terms are an agreement between you and Goldenance LLC, a Florida limited liability company (“Cadenance”, “we”, “us”), governing your use of the Cadenance service. By creating an account or using the service you agree to them.
The service
Cadenance reads commercial data from systems you connect — such as your Shopify store or accounting ledger — and produces cash-flow and inventory analysis: replenishment recommendations, risk scores, returns and dispute analysis, and a weekly CFO brief.
We may change or improve features over time. If we discontinue a feature you depend on, we will give reasonable notice.
Your account
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Enabling two-factor authentication is strongly recommended. Workspace administrators control who else can access the workspace.
You must be at least 16 and use Cadenance for business purposes.
Your data
You keep ownership of your data. You grant us the limited right to process it in order to provide the service to you. We do not sell it and do not use it to train AI models. Our Privacy Notice explains what we collect and why.
You are responsible for having the right to share the data you connect or upload, and for not uploading personal data the service does not need.
Fees and billing
Paid plans are billed in advance on a monthly or annual cycle and renew automatically until cancelled. Prices are shown before you subscribe.
If you installed Cadenance from the Shopify App Store, all charges are billed by Shopify and appear on your Shopify invoice. Otherwise, charges are processed by Stripe. You can upgrade, downgrade or cancel your plan yourself at any time from within the app — no email or phone call required.
Cancelling stops future renewals and takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
Acceptable use
Do not use Cadenance to break the law or infringe anyone’s rights, attempt to gain unauthorised access to our systems or another customer’s data, interfere with or overload the service, resell it without our agreement, or reverse engineer it except where that right cannot be excluded by law.
Analysis is decision support, not financial advice
Cadenance produces forecasts, recommendations and projections from the data available to it. They are estimates and can be wrong, particularly where the underlying data is incomplete, stale or inconsistent. Cash projections cover the inventory and working-capital effects we can see; unless stated otherwise on the relevant screen they exclude payroll, rent and other operating costs.
Cadenance is not an accountant, auditor or financial adviser, and its output is not professional financial, tax or legal advice. Purchasing and financing decisions remain yours.
Third-party services
Connecting Shopify, Amazon, WooCommerce, QuickBooks or Xero is subject to those providers’ own terms. We are not responsible for their availability, accuracy or changes to their APIs, though we will make reasonable efforts to keep integrations working.
Availability
We aim to keep Cadenance available and reliable, but it is provided “as is” without warranties of any kind to the extent permitted by law. Planned maintenance may cause brief interruptions.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total liability arising out of these terms is limited to the fees you paid in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.
Suspension and termination
You can stop using Cadenance and delete your account at any time from Settings → Security. We may suspend or terminate an account that breaches these terms, that we are legally required to suspend, or for which fees are unpaid — with notice where practicable.
Changes to these terms
We may update these terms. If a change materially affects you we will notify account administrators by email and update the date at the top of this page. Continuing to use the service after a change takes effect means you accept it.
Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The courts of Miami-Dade County, Florida have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
